 letter of credit. Partial shipment and transshipment are allowed.

8.  TERMS OF PAYMENT:

The Buyer shall, 90 days prior to the date of delivery, open an irrevocable letter of credit in favor of the Seller for the total value of shipment. The credit shall be available against Seller’ draft(s) drawn at sight on the opening bank for 100% invoice value accompanied by the shipping documents.

11. COMPLETE CONTRACT AND ASSIGNMENT: The terms and conditions found within the contract constitute the complete and final understanding of the seller and the buyer. No modification, extension or release from any providing hereof shall be effective unless the same shall be confirmed in writing by both of the seller and the buyer.

合同完整性和让与：合同载明条款构成本合同的全部内容和买卖双方的最终共识。除非买卖双方一致书面认可，否则对本合同的修改、延期和让与均无效。

12. FORCE MAJEURE: Either party shall not be held responsible for failure or delay to perform all or any part of the contract due to flood, fire, earthquake, draught, war or any other events which could not be predicted at the time of conclusion of this contract, and could not be controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 30 days of its occurrence. If the event of Force Majeure lasts over 120 days, both parties shall have the right to terminate the contract.

不可抗力：由于水灾、火灾、地震、干旱、战争或合同一方在签约时无法预见且无法控

制、避免和克服的其他事件导致不能或暂时不能履行全部或部分合同义务，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力

事件发生后30天内将有关机构出具有不可抗力事件的证明寄交对方。

如果不可抗力事件持续120天以上，任何一方有权终止合同。

13. CLAIMS: Should the quality, quantity and/or the specification of the commodity be found not in conformity with the description set out in clause one, the seller agrees to examine any claim, which shall be supported by a report issued by a reputable surveyor approved by the seller. The claims concerning quality shall be made in writing within four months after the arrival of the goods at the destination port.  The claims concerning quantity and/or the specification shall be made in writing within fifteen days after the arrival of the goods at the destination port. In no event shall the seller be liable for lost profits, delay, injury to good will or any special or consequential damages however any of the same are caused. The seller's liability for any and all losses of damages of whatever nature resulting from any cause whatever shall not exceed the contract price attributable to commodity in respect of which the claims are made. The seller may take other measures to the satisfaction of the buyer, such as the repair or replacement of the same commodity.

索赔：如所交商品的质量、数量或技术参数与本合同条款１不符并经卖方认可的检测机构以报告形式证实，卖方同意就此进行调查。质量索赔应在货物到港之日起四个月内以书面形式提出，数量和技术参数不符的索赔应在货物到港之日起１５日内以书面形式提出。无论在何种情况下，卖方对由此造成的收益损失、延误、无意损害或其他可能带来的损害不承担责任。卖方对索赔商品的部分或全部损失赔偿，无论该损失是何种原因造成的，赔偿金额都不能超过索赔商品在合同中的价款。卖方可采取其它如修理或同商品退换的方式来满足买方的要求。

14. ARBITRATION: All disputes arising from the performance of this contract shall be settled through friendly negotiations. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Beijing) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. The arbitration fee shall be borne by the losing party unless otherwise awarded by the commission. During the course of the arbitration, the contract shall be performed except for the part under arbitration.

    因履行本合同所发生的一切争议应通过友好协商解决；如协商不能解决争议,则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。除非仲裁委员会另有裁定，仲裁费由败诉方承担。

仲裁期间，除仲裁部分以外的合同条款应继续执行。

15.  WARRANTY: as stipulated in after sale agreement.

质量保修：保修条款见售后服务协议

16.  VALIDITY OF THE CONTRACT: The contract shall be effective upon the signature by the authorized representatives herein and remain valid for 180 days commencing from signing date.

合同有效期：本合同自双方受权人签字后生效，有效期为自签字之日起180天。
